Terms & Conditions

These Terms & Conditions ("Terms") govern your purchase and use of Silica Esports Arena ("SEA") Backer Pass NFTs and related benefits offered by Convergence 4d, Inc. ("we," "us," "our"). By purchasing a Backer Pass NFT, you agree to these Terms, our Refunds & Risks Policy, Shipping Policy, and Privacy Policy.

1. What We Are Selling

Backer Pass NFTs are digital memberships, not event tickets. Each NFT grants you access to specific benefits as outlined in your selected tier.

Immediate Perks (Available Upon Purchase):

• Digital founder badge and Discord role
• Access to exclusive Discord channels
• Early access to announcements and updates
• Physical merchandise (where applicable to tier)
• NFT artwork and digital collectibles

Conditional Perks (Available Only If Event Is Confirmed):

• Qualifying sessions at discounted rates (tier-dependent)
• Priority booking for confirmed event dates
• VIP access and reserved seating (higher tiers)
• Meet & greet opportunities (Founders Club tier)

Conditional perks unlock only if the live Silica Esports Arena event is officially confirmed with dates and venue.

2. Event Contingency & Date Changes

If Event Dates Are Confirmed:

• Minor Changes: If confirmed dates move within the same metropolitan area and by 30 days or less, your Backer Pass benefits automatically transfer to the new dates.
• Major Changes: If dates move outside the metro area or by more than 30 days, we will offer conversion options or tier-appropriate credit after the new dates are confirmed.

If Event Is Not Confirmed or Canceled:

• Event-dependent conditional perks (qualifying sessions, VIP access, etc.) will not convert or activate.
• Immediate digital perks (Discord access, founder badge, NFT artwork, physical merchandise) remain yours.
• No cash refunds or cash value will be provided for unused conditional benefits.

We will make reasonable efforts to confirm event dates and venue, but cannot guarantee event execution due to factors beyond our control (venue availability, permits, force majeure, etc.).

3. Refunds & Risks

Digital Items:

All digital items (NFTs, Discord access, digital badges, artwork) are non-refundable once deliveredto your wallet or account. By purchasing, you acknowledge the speculative nature of crowdfunding and accept the risk that event-dependent benefits may not materialize.

Physical Items:

Physical merchandise is non-refundable once shipped, except for manufacturing defects (see Shipping Policy). Worn, used, or personalized items cannot be returned.

Event Cancellation:

If the live event is canceled entirely, event-dependent conditional perks will not convert. However, all immediate digital perks and physical merchandise remain yours with no refund or cash value provided.

Fraud & Chargebacks:

We actively investigate fraudulent activity and abuse of our platform. Suspicious transactions or behavior may result in voiding or redaction of benefits without refund. Chargebacks filed for delivered digital perks (NFTs, Discord access, digital content) will be contested with proof of delivery and acceptance. Filing a fraudulent chargeback may result in permanent account suspension and legal action.

No Cash Value: Backer Pass NFTs and associated benefits have no cash value and cannot be exchanged for money.

4. Shipping Policy

Geography Served:

We ship physical merchandise to addresses within the United States and select international locations. International shipping availability and costs vary by region.

Timelines:

Physical items typically ship within 4-8 weeks after purchase, subject to production and fulfillment schedules. We will provide tracking information once items ship.

Cost Handling:

Shipping costs are included in your Backer Pass purchase price for domestic US orders. International orders may incur additional shipping fees calculated at checkout.

Damaged Shipments:

If your merchandise arrives damaged, contact us at team@silicanexus.com within 14 days of delivery with photos. We will provide a replacement at no additional cost for manufacturing defects or shipping damage.

No Returns:

Worn, used, washed, or personalized apparel and merchandise cannot be returned or exchanged. All sales are final except for defective items.

5. Transferability

Backer Pass NFTs are transferable until the redemption of any event-dependent perk. Once you redeem a qualifying session, VIP access, or other conditional benefit, the NFT becomes non-transferable and bound to your account.

To transfer your NFT before redemption, follow the standard NFT transfer process on the blockchain platform where your NFT is hosted. The new owner assumes all rights and obligations under these Terms.

Wallet Responsibilities:

• Lost Keys: We cannot recover lost private keys or misplaced wallets. You are solely responsible for securing your wallet and private keys. Loss of access to your wallet means permanent loss of your NFT and associated benefits.
• Gas/Network Fees: Blockchain transfers may incur gas fees or network transaction costs. These fees are paid to the blockchain network, not to us, and are non-refundable.
• Consumed Benefits: Once a conditional benefit (qualifying session, VIP access, etc.) is claimed or redeemed, it is consumed and cannot be transferred to another user or NFT holder.

6. Taxes & Fees

You are responsible for all applicable taxes, duties, customs fees, and other governmental charges related to your purchase and use of Backer Pass NFTs. Prices displayed do not include taxes unless explicitly stated.

International buyers are responsible for any import duties, VAT, or customs fees imposed by their country of residence.

7. Code of Conduct & Recording Consent

Code of Conduct:

By participating in SEA events, Discord channels, or community spaces, you agree to:

• Treat all participants, staff, and community members with respect
• Refrain from harassment, hate speech, discrimination, or disruptive behavior
• Follow venue rules and staff instructions at live events
• Comply with all applicable laws and regulations

Violation of our Code of Conduct may result in removal from events, revocation of Discord access, or termination of your Backer Pass benefits without refund.

Recording Consent:

By attending SEA events or participating in community activities, you consent to being photographed, filmed, or recorded for promotional, marketing, and archival purposes. You grant us a perpetual, royalty-free license to use your likeness in connection with SEA promotional materials.

Governing Law:

These Terms are governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or your purchase shall be resolved exclusively in the state or federal courts located in Clark County, Nevada.

Severability:

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Changes to Terms:

We reserve the right to update these Terms at any time. Material changes will be communicated via email or Discord announcement. Continued use of your Backer Pass NFT after changes constitutes acceptance of the updated Terms.
